Terms of Service

Effective date: January 1, 2025

Welcome to Boundrify. These Terms of Service ("Terms") govern your access to and use of the services, applications, and websites (collectively, the "Services") provided by Boundrify Technologies Inc. ("Boundrify Inc.," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Boundrify provides a project management and client boundary-setting platform designed for freelancers, consultants, and agencies. Our Services include but are not limited to:

  • Project and contract management tools
  • Milestone tracking and revision management
  • Change order workflows
  • Client communication features
  • Invoice and payment tracking
  • Analytics and reporting

3. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

4. Subscriptions and Billing

Certain features of the Services require a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

  • Free Trial: We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel beforehand.
  • Refunds: Payments are non-refundable except as required by applicable law or as otherwise stated in our Payments Terms.
  • Price Changes: We may change our pricing with at least 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

5. User Content

You retain ownership of all content, data, and materials you submit, post, or display through the Services ("User Content"). By using the Services, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You agree not to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights of others
  • Transmit any viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Services or related systems
  • Use the Services for any fraudulent or deceptive purpose
  • Interfere with or disrupt the Services or servers

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Boundrify Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

8. Third-Party Services

The Services may integrate with or contain links to third-party services, including payment processors (e.g., Stripe), authentication providers, and analytics tools. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

9. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Services will immediately cease
  • You may request a copy of your data within 30 days of termination
  • We may delete your data after a reasonable retention period
  • Any outstanding fees remain payable

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Boundrify Inc. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Boundrify Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Services and updating the "Effective date" above. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
